Terms and Conditions

Welcome to PrimeLocalWeb. These Terms and Conditions ("Terms") govern your use of our website, our website design and hosting services, and our optional SEO services (together, the "Services"). By purchasing or using our Services, you agree to these Terms. If you don't agree, please don't use the Services.

1.Who We Are
PrimeLocalWeb is operated by Prime Local Web, LLC ("PrimeLocalWeb," "we," "us," or "our"), a North Carolina company, and provides website design, hosting, and search engine optimization services primarily for local service businesses, including insurance agencies and lawn care companies. "You" or "Client" refers to the person or business that purchases our Services.

2.Eligibility
You must be at least 18 years old and able to form a legally binding contract to purchase or use our Services, including to submit any form on primelocalweb.com or to opt in to text messages from us. By using our Services, you represent that you meet these requirements. We don't knowingly offer our Services to anyone under 18.

3.Our Services
We offer the following:

Website Setup: a one-time build of a custom website using our design templates and platform.
Hosting: ongoing hosting and maintenance of your website on our platform, billed monthly.
SEO Add-On (optional): ongoing search engine optimization work aimed at improving your site's visibility in search results, billed monthly.
The exact scope of work, deliverables, and timeline for your project will be confirmed with you separately (by proposal, invoice, or order form) before work begins. That confirmation is part of your agreement with us along with these Terms.

4.Fees and Payment
Our current standard pricing is:

One-time website setup fee: $499
Monthly hosting fee: $99/month
Optional monthly SEO fee: $99/month
The setup fee is due before we begin work on your website. Hosting and, if applicable, SEO fees are billed monthly in advance, starting on the date your site goes live, and will renew automatically each month until you cancel. We accept payment by the methods shown at checkout or on your invoice. You're responsible for keeping your payment method current.

We may change our pricing for future billing cycles. If we do, we'll give you at least 30 days' notice before the new price takes effect. Continuing to use the Services after that date means you accept the new pricing.

5.Late or Failed Payments
If a payment fails or is late, we'll attempt to notify you and may retry the charge. If your account remains unpaid for more than 10 days past the due date, we may suspend your website and, if applicable, SEO services until payment is received. If your account remains unpaid for more than 30 days, we may terminate your Services and take your website offline. A reactivation fee may apply to restore a suspended or terminated site.

6.Cancellation
You may cancel your hosting and/or SEO services at any time by notifying us in writing (email is fine) at least 15 days before your next billing date. Cancellation takes effect at the end of your current billing cycle; we don't provide prorated refunds for partial months.

Once hosting is cancelled, your website will be taken offline. We may retain a copy of your site files and content for a limited period after cancellation, but we're not obligated to store them indefinitely, and we recommend requesting an export of your content before cancelling if you want to keep it.

7.Refund Policy
The website setup fee is non-refundable once we've begun design or development work on your site. Monthly hosting and SEO fees are non-refundable once a billing cycle has started, since those fees cover services already rendered or committed for that period. If you believe you were charged in error, contact us and we'll look into it.

8.Your Responsibilities
To build and maintain your site, we need your help. You agree to:

Provide accurate business information, branding, images, and copy in a reasonably timely manner.
Respond to requests for approval, feedback, or content within a reasonable time so your project doesn't stall.
Only submit content you have the legal right to use (see Section 10 below).
Keep your account and billing information accurate and up to date.
Delays caused by missing content or slow feedback from you may push back your launch date and aren't our responsibility.

9.Website Ownership and Use of Our Platform
Your website is built using PrimeLocalWeb's proprietary templates, design system, and hosting infrastructure. As long as you're an active hosting client, you have a license to use your website as built for us. If you cancel hosting, that license ends and the site is taken offline, since it runs on our platform. If you want full, portable ownership of the underlying code and the ability to host it independently, let's discuss that separately. That's not included in the standard setup and hosting package.

10.Your Content
You retain ownership of the content you provide us (your logo, photos, business copy, testimonials, etc.). By submitting it, you give us permission to use, display, and publish it as part of building and operating your website. You confirm that you have the right to use any content you give us and that it doesn't infringe on anyone else's rights (copyright, trademark, privacy, or otherwise). You agree to cover us for any claims that arise from content you provided.

11.SEO Services Disclaimer
If you purchase our optional SEO add-on, we'll perform recognized SEO practices aimed at improving your site's visibility. However, search engine rankings depend on many factors outside our control, including changes to search engine algorithms, competitor activity, and your market. We don't guarantee specific rankings, traffic levels, or lead volume, and we're not responsible for changes in ranking caused by search engine updates or third-party actions.

12.Acceptable Use
You agree not to use your website or our Services to post or promote anything illegal, fraudulent, defamatory, or that violates a third party's rights. You also agree not to use the Services in a way that violates applicable advertising laws or regulations that apply to your industry, including insurance advertising rules if you're an insurance business. We may suspend or remove content that violates this section.

13.Third-Party Services
Our platform may rely on third-party tools and infrastructure (for example, hosting infrastructure, domain registrars, and marketing platforms). We're not responsible for outages, changes, or issues caused by those third-party providers, though we'll work to minimize disruption to your site when they occur.

14.Disclaimer of Warranties
Our Services are provided "as is" and "as available." We don't guarantee that your website will be free of errors, uninterrupted, or fully secure at all times. To the extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

15.Limitation of Liability
To the extent permitted by law, PrimeLocalWeb's total liability to you for any claim arising from these Terms or the Services is limited to the amount you paid us in the three months before the claim arose. We're not liable for indirect, incidental, special, or consequential damages, including lost profits or lost business, even if we've been advised of the possibility.

16.Termination by PrimeLocalWeb
We may suspend or terminate your access to the Services if you violate these Terms, fail to pay as agreed, or use the Services in a way that creates risk or legal exposure for us. Where practical, we'll give you notice and a chance to fix the issue first.

17.Privacy
Our collection and use of information from you and your website visitors, including information collected through our text messaging program described below, is detailed in our Privacy Policy. By using our Services, you agree to that policy as well.

18.SMS and Text Messaging Terms
PrimeLocalWeb offers an optional text messaging program. This section describes that program and applies whenever you opt in to receive text messages from us.

Description of the Program
On our forms at primelocalweb.com, we offer two separate, unchecked-by-default consent options:

Transactional messages: appointment confirmations, demo scheduling updates, and account notifications related to Services you've purchased.
Marketing and promotional messages: offers, tips, and updates about our website design and marketing services.
You may opt in to either category, both, or neither. Checking one consent box doesn't enroll you in the other category of messages, and opting in to text messages is never a condition of purchasing our Services.

Message Frequency and Cost
Message frequency may vary depending on your interactions with us and which category (or categories) you've opted into. Message and data rates may apply, based on your mobile carrier plan. PrimeLocalWeb does not charge for text messages, but your carrier's standard rates apply.

How to Opt Out
You can opt out of a text messaging category at any time by replying STOP to any message in that category. After you reply STOP, we'll send one final confirmation message and then stop sending that category of texts to your number. You can also opt out by contacting us directly using the information in Section 22 below. Opting out of marketing texts doesn't affect transactional texts, and opting out of transactional texts doesn't affect marketing texts; each category is managed separately.

How to Get Help
Reply HELP to any text message from us for assistance, or contact us using the information in Section 22 below.

Carrier Liability
Mobile carriers are not liable for delayed or undelivered messages. Participating carriers do not guarantee delivery of all messages. Coverage and message delivery may not be available in all areas at all times.

No Sharing of SMS Opt-In Data
No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. Full detail on how we collect, use, and protect information related to this program is in our Privacy Policy.

19.Changes to These Terms
We may update these Terms from time to time. If we make material changes, we'll notify you by email or by posting an update on this page with a new effective date. Continued use of the Services after changes take effect means you accept the updated Terms.

20.Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Any disputes arising from these Terms or the Services will be handled in the state or federal courts located in North Carolina, and both parties consent to that jurisdiction.

21.Entire Agreement
These Terms, together with any proposal, order form, or invoice we provide you, make up the entire agreement between you and PrimeLocalWeb regarding the Services and replace any prior agreements or understandings on the subject.
